MEETING HIGHLIGHTS


After a computation, it was determined that a 50 percent quorum was present and thereupon the President, Joe Beranek, Jr., acting as Chairman declared that the meeting was legally open.

MEETING RULES & VOTING RIGHTS
Thereafter Mr. Beranek explained the rules which have preveiled at past meeting were again in order at this meeting, that is, that only those Shareholders in good standing would be allowed to vote or have a voice in the meeting.

DISCUSSION

Q.   What is considered a safe distance for a line to eliminate contamination?
A.   No less than 100 feet from a well

Q.   Is each share the same amount when you don't use water as when you use it?
A.   The assessments are the same. There is another charge for the water when you use it. Assessments are the same for each share on a vacant lot as on an occupied lot.

CHANGE OF QUORUM- from 50 to 20 percent
Page 8: In 1965, the State Legislature changed this law as follows:
Section 2211 from the California Corporations Code.

This means that the Legislature has allowed mutual water companies to do business if 20% of the outstanding shares are present. Our current bylaws provide that in certain areas, they can be amended only by vote of the Shareholders. Other sections can be amended by the Board..... In compliance with the new legislative law, I propose that the bylaws be amended. I hereby move to amend the bylaws, Article I, Section 2.

BE IT RESOLVED, that Article I, Section 2 of these bylaws be amended to read that 20% of the shares issued outstanding, in good standing, represented in person or by proxy, shall constitute a quorum for the transaction of business.

The motion has been made and seconded.

Q.   The two amendments we just adopted - will the State have to approve them before they are legal amendments?
A.   We notify the state that we have amended our bylaws and unless they find something radically wrong, approval is mostly a matter of course.

...according to the By-Laws, a shareholder to be heard must rise, identify, and name the number of shares he holds. Since the Board held 1,316 shares by proxy, and since the requirements are 20% of the shares in good standing, or 653, the President declared this a legal meeting.

Announcement was made that a plaque had bee previously presented to Mr. Walter G. Ogle, retiring watermaster, after 40 years of service.....The President then presented a plaque to Mr. Joe Beranek, past President of the water company, in appreciation of his 23 years of service.

...according to Company By-Laws, 20% of the total number of shares issued and in good standing must be represented to conduct a legal meeting. ...We have a quorem.

Vice-President Brewer informed the Shareholders that (3) between 1924 and the late 1960's shares were sold where no water service was available. When we receive service requests from those shares, we can only tell those Shareholders that we cannot serve their lots at this time but we try to upgrade and expand our water lines as time and money become available.

General Manager Forth informed the Shareholders that (3) 1300 ft of 6 inch PVC water pipe was installed on East Buckthorne, (4) on the West Buckthorne and Fern Canyon Project, 2600 feet of pipe has been installed with 2200 feet more pipe to be installed this year along with the necessary hydrants, (7) Section 2.16 of the Company Rules and Regulations will be amended to read:....

Director Middleworth informed the Shareholders that (4) CLAWA now charges $480 per acre foot of water whereas we can produce an acre of water from our wells for $65.00.

The Shareholders APPROVED Tom Sutton and Gary Remmers as Directors of the Cedarpines Park Mutual Water Company, each to serve a term of three years.

Timrott, 3 shares, stated that the Board in 1980 knew there was a problem with the shares. A motion was passed to review the number of shares of each account upon a trasnfer (sic) request.

NOTE: THIS MEETING REVERTED THE QUORUM REQUIREMENT FROM 20% to 50% +1

President Fisher stated a quorum had not been reached. In 1966 the Board, at the Annual Meeting, attempted to change the quorum requirements from 50% plus 1 to 20% of all shares outstanding. The change was adopted but we have now found the change not to be lawfully amended, therefore 50% plus 1 of the total number of shares outstanding must be represented to conduct a legal meeting..... We do not have enough proxies to conduct a legal meeting.

MEETING HIGHLIGHTS

Director Sutton introduced Perry Dahlstrom as the new Field Manager of the Company.... He has lived in Cedarpines Park for two years.

President Fisher informed the Shareholders that (4) New shares cost $125 each as they have since 1979. (5) Shareholders must have the correct number of shares for the size of property.

President Fisher informed the Shareholders that the Board authorized an Engineering Study and a Master Plan Update from Albert Webb and Associates since the last once was done in 1966.

Office Manager Barker stated one share is needed for every 3000 square feet of property a Shareholder owns. The Company has discovered that not all Shareholders have the correct number of shares for the square footage of their property.

Office Manager Barker stated the cost of a meter installation depends on the date the original shares were issued. That amount varies from $129 to $950. The older the share, the less cost for a water meter installation.

Walter Slike, 1 share, suggested the Board look into revising the Company's 63 year old Bylaws. President Fisher stated that was being looked into at this time.
